1. Acceptance

By accessing or using this portal (the “Service”) you agree to be bound by these Terms & Conditions, our Privacy Policy, our Code of Conduct, and our PAIA Manual.

2. Acceptable Use

You agree to use the Service only for lawful purposes, in compliance with applicable marketplace policies (including Amazon’s) and Code & Copy’s Code of Conduct. You are solely responsible for all data, listings and credentials you upload, generate, or connect.

3. Account Suspension & Termination

Code & Copy reserves the right to suspend or terminate any account in breach of its policies, the Code of Conduct, marketplace terms, or applicable law, without notice and without any refund of fees already paid or credits already purchased.

4. Marketplace Operations

The Service automates interaction with third-party marketplaces (including Amazon South Africa). You acknowledge that marketplace acceptance, listing approval, suspension, takedown, and policy enforcement are entirely at the discretion of those third parties and are outside the control of Code & Copy.

5. No Liability for Financial Loss

To the maximum extent permitted by law, Code & Copy, its directors, employees, contractors and affiliates shall not be liable for any financial loss, lost revenue, lost profit, lost sales, lost data, marketplace fines, account suspensions, takedowns, or business interruption incurred by any user or organisation arising directly or indirectly from use of, or inability to use, the Service.

You indemnify Code & Copy against any such losses and against claims by third parties (including marketplaces, customers and tax authorities) arising from your use of the Service.

6. Security & Data Breaches

Code & Copy has taken a great deal of care to ensure that the portal is secure. Any data or privacy breach will be handled in accordance with the PAIA Manual. No compensation will be available arising from any such breach.

7. Liability Cap

If, despite the exclusions above, a court of competent jurisdiction orders Code & Copy to pay compensation, or Code & Copy elects to settle a claim, the total aggregate amount payable to all claimants combined shall not exceed ZAR 1 000 000 (one million Rand), inclusive of all damages, interest and legal costs.

8. Service Availability

The Service is provided on an “as is” and “as available” basis. No warranty of fitness, uptime or merchantability is given.

9. Governing Law

These terms are governed by the laws of the Republic of South Africa. The parties submit to the exclusive jurisdiction of the South African courts.

10. Changes

Code & Copy may amend these terms from time to time. Continued use of the Service after publication of any amendment constitutes acceptance of the revised terms.
